ContractIQ

Terms of Service

Last updated: August 24, 2026

These Terms of Service govern access to and use of ContractIQ, the contract-intelligence platform provided by PraxisIQ LLC ("PraxisIQ").

They form a binding agreement between PraxisIQ and the organization that subscribes to ContractIQ (the customer), and they apply to every user the customer authorizes to use a workspace. Creating an account, accessing a workspace, or using the platform constitutes acceptance of these terms.

Where the customer and PraxisIQ have signed a separate written agreement covering ContractIQ, that agreement controls to the extent it conflicts with these terms.

The service

ContractIQ ingests contracts and related documents into a workspace and turns them into structured, searchable information. The platform provides:

  • A central repository for contracts, amendments, order forms, statements of work, and invoices.
  • Automated extraction and classification of contract data, including parties, dates, values, payment terms, renewal and notice provisions, clauses, obligations, and risks.
  • Renewal and obligation tracking, reporting, and reconciliation.
  • Ask IQ, a natural-language interface for asking questions about the contracts in a workspace.
  • Optional integrations with third-party systems the customer chooses to connect.

PraxisIQ may add, change, or discontinue features. Where a change materially reduces the core functionality of the platform, PraxisIQ will give the customer reasonable advance notice.

Accounts and workspaces

A workspace is the unit of tenancy. All of a customer's content, settings, integrations, and members belong to one workspace, and content is isolated from every other workspace on the platform.

  • Accounts are created by invitation from a workspace administrator or from PraxisIQ. Accounts are personal to the individual named on them and must not be shared.
  • Authentication is provided by the PraxisIQ identity provider. Users are responsible for keeping their credentials confidential and for everything done under their account.
  • Workspace administrators control membership, roles, integrations, and workspace settings, and are responsible for granting access only to people who should have it.
  • The customer must notify PraxisIQ promptly of any suspected unauthorized access to a workspace.
  • Users must be at least 16 years old and must have authority to bind the organization they are acting for.

Acceptable use

The customer and its users must not:

  • Upload content they do not have the right to upload, process, or disclose, including content subject to a confidentiality obligation that forbids it.
  • Use the platform to violate any law, regulation, sanctions regime, or third-party right.
  • Attempt to access another workspace, another customer's data, or any part of the system they are not authorized to reach.
  • Probe, scan, or test the vulnerability of the platform without prior written authorization, or interfere with its integrity or performance.
  • Reverse engineer, decompile, or attempt to derive the source code, models, or prompts underlying the platform, except to the extent that restriction is unenforceable by law.
  • Resell, sublicense, or provide the platform to a third party as a service, or use it to build a competing product.
  • Use automated means to extract data at a volume or rate that degrades the service for others, or circumvent any usage limit.
  • Upload malware, or content that is unlawful, harassing, or infringing.
  • Submit special categories of personal data, payment card data, or protected health information into a workspace unless PraxisIQ has agreed in writing that the workspace is configured for it.

PraxisIQ may suspend access, in whole or in part, where use presents a security risk, threatens the stability of the platform, may expose PraxisIQ to liability, or breaches this section. Where circumstances allow, notice will be given first and access restored as soon as the cause is resolved.

Customer content and ownership

The customer owns its content. Contracts, documents, records imported from connected systems, extracted data, notes, corrections, reports, and conversations in a workspace remain the customer's property.

The customer grants PraxisIQ a limited, non-exclusive licence to host, copy, transmit, display, and process that content solely to provide, secure, and support the platform for that workspace, and to comply with the law. The licence lasts only as long as the content is in the workspace, and it extends to the subprocessors listed in the Privacy Policy for the same purposes.

Customer content is not used to train third-party models, and it is not used to build features or models for the benefit of any other customer.

The customer is responsible for the lawfulness of the content it uploads, for having the rights and consents needed to process any personal data in it, and for the accuracy of what it submits.

PraxisIQ owns the platform: the software, models and prompts it operates, interfaces, documentation, and all intellectual property in them, together with any improvements. Nothing in these terms transfers that ownership. PraxisIQ may use aggregated, de-identified operational and usage statistics that cannot identify the customer, any individual, or the content of any document, to operate and improve the service.

Feedback given to PraxisIQ about the product may be used freely and without obligation.

AI-generated output

ContractIQ uses large language models to read documents, extract and classify contract data, and answer questions in Ask IQ. This section is the most important one in this document.

Extracted fields, classifications, risk assessments, reports, and Ask IQ answers are AI-generated assistance. They are not legal advice, they are not a substitute for professional judgment, and they must be verified against the underlying contract before anyone relies on them.

  • AI output can be incomplete, out of date, or simply wrong. A missed clause, a misread date, and a mis-stated value are all possible outcomes, including on documents the platform processes without reporting an error.
  • ContractIQ keeps every source document alongside the data derived from it so that any value can be checked against its source. The source document, not the extraction, is the record.
  • The customer is responsible for reviewing AI output before acting on it, and for any decision it takes on the basis of that output. This includes renewal, termination, and notice decisions, financial reporting, and reconciliation and billing outcomes.
  • No output constitutes legal, tax, accounting, or financial advice, and using the platform creates no attorney-client relationship.
  • PraxisIQ does not warrant that AI output is accurate, complete, or fit for any particular purpose, and gives no such warranty on behalf of any model provider.

Automated processing in ContractIQ informs people. It does not make decisions about people on its own.

Third-party integrations

A workspace can connect third-party services such as DocuSign, Google Drive, HubSpot, QuickBooks, Amazon S3, Slack, and Microsoft Teams. Connecting one is the customer's choice and authorizes ContractIQ to access that service on the customer's behalf, within the scopes and locations selected during setup.

  • Each third-party service is governed by the customer's own agreement with that provider. Those terms apply to what happens inside that service, and PraxisIQ is not a party to them.
  • PraxisIQ does not control third-party services and is not responsible for their availability, accuracy, security, pricing, or any change a provider makes to its API or terms.
  • A provider change may break or disable an integration. PraxisIQ will make reasonable efforts to restore it but cannot guarantee continued interoperability.
  • Write-back to a connected system happens only where the workspace has explicitly enabled it. The customer is responsible for the effect of any data written back.
  • Disconnecting a provider revokes the stored credentials and stops further synchronization. It does not delete data already imported into the workspace.

Fees, plans, and billing

  • Fees, the billing cycle, and any usage limits are those of the plan the customer selects or the ones set out in a signed order form.
  • Fees are billed in advance and are non-refundable except where required by law or expressly stated otherwise in a signed agreement.
  • Subscriptions renew automatically for successive terms unless cancelled before the end of the current term.
  • PraxisIQ may change pricing with advance notice, effective from the customer's next renewal rather than mid-term.
  • Fees exclude taxes. The customer is responsible for any applicable taxes other than those on PraxisIQ income.
  • Access may be suspended for accounts that remain unpaid after written notice and a reasonable opportunity to cure.

Confidentiality

Each party may receive information from the other that is marked confidential or that a reasonable person would understand to be confidential. Customer content is the customer's confidential information. The platform, and any non-public technical or pricing information about it, is the confidential information of PraxisIQ.

Each party will protect the other's confidential information with at least reasonable care, use it only to perform under these terms, and disclose it only to personnel and providers who need it and are bound by comparable obligations. These duties do not apply to information that is public through no fault of the recipient, was already known to it, is independently developed, or is lawfully received from a third party. Disclosure compelled by law is permitted, with notice to the other party where notice is lawful.

Availability and support

PraxisIQ will use commercially reasonable efforts to keep ContractIQ available, and provides support through the channels described in the customer's plan.

The platform may be unavailable during planned maintenance, for which advance notice will be given where practicable, and during emergency maintenance, for which it may not be. Availability may also be affected by events outside the reasonable control of PraxisIQ, including failures of a cloud provider, model provider, identity provider, or connected third-party service. Any service level commitment applies only if it is stated in a signed agreement.

Disclaimer of warranties

Except as expressly stated in these terms or in a signed agreement, the platform is provided on an as-is and as-available basis, and PraxisIQ disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.

PraxisIQ does not warrant that the platform will be uninterrupted, error free, or secure against every threat; that defects will be corrected; that AI-generated output will be accurate, complete, or suitable for any purpose; or that the platform will identify every clause, obligation, risk, date, or amount in a document.

Some jurisdictions do not allow the exclusion of certain warranties. In those places the exclusions apply only to the extent permitted.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, nor for lost profits, lost revenue, lost business, lost goodwill, or the cost of substitute services, even if advised that such damages were possible.

To the maximum extent permitted by law, the total aggregate liability of PraxisIQ arising out of or relating to these terms or the platform is limited to the amount stated in the customer's order form or separate written agreement with PraxisIQ. Where no such amount is stated, that liability is limited to the fees the customer paid or owed for the platform under these terms.

These limits do not apply to a party's liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited. They also do not limit the customer's obligation to pay fees due.

The limits in this section apply to loss arising from reliance on AI-generated output. Verification of that output before reliance is the customer's responsibility, as set out above.

Indemnification

The customer will defend PraxisIQ against third-party claims arising from content it uploads, from its use of the platform in breach of these terms, or from its violation of law or third-party rights, and will pay damages and costs finally awarded or agreed in settlement.

PraxisIQ will defend the customer against third-party claims that the platform, used as permitted, infringes that party's intellectual property rights, and will pay damages and costs finally awarded or agreed in settlement. This does not cover claims arising from customer content, from modifications not made by PraxisIQ, or from use of the platform in combination with anything PraxisIQ did not supply.

Each indemnity is conditional on prompt notice of the claim, reasonable cooperation, and the indemnifying party controlling the defense and settlement, provided no settlement imposes a non-financial obligation on the other party without its consent.

Term and termination

  • These terms apply for as long as the customer has an active subscription or any access to the platform.
  • The customer may cancel at any time, effective at the end of the current billing term.
  • Either party may terminate for material breach that remains uncured 30 days after written notice.
  • PraxisIQ may terminate immediately for a breach of the acceptable use section, for non-payment after notice, or where required by law.
  • On termination, access ends. The customer may export its content during the wind-down window, after which content is deleted in line with the Privacy Policy.
  • Provisions that by their nature should survive do survive, including ownership, confidentiality, fees already due, disclaimers, limitation of liability, indemnification, and governing law.

Changes to these terms

These terms may be updated as the product, the law, and the business change. The date at the top of this page always reflects the current version.

For a material change, PraxisIQ will give reasonable advance notice before it takes effect, by email to workspace administrators or by a notice in the application. Continued use after the effective date constitutes acceptance. A customer that does not accept a material change may terminate before the change takes effect and receive a pro-rata refund of prepaid fees for the unused remainder of the term.

Governing law and disputes

If the customer has a separate written agreement with PraxisIQ, the governing law and venue in that agreement control. Otherwise the governing law and venue are those stated in the customer's order form, applied without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties submit to the exclusive jurisdiction of the courts identified by that agreement or order form for any dispute arising out of or relating to these terms, and each retains the right to seek injunctive relief in any competent court to protect its intellectual property or confidential information.

Before filing, the parties will attempt in good faith to resolve the dispute through discussion between people with authority to settle it, for at least 30 days after written notice of the dispute.

General

  • Entire agreement: these terms, the Privacy Policy, and any signed order form or agreement are the whole agreement between the parties on this subject and replace any prior understanding.
  • Severability: if a provision is unenforceable, it is limited to the minimum extent necessary and the rest remains in force.
  • No waiver: failing to enforce a provision is not a waiver of it.
  • Assignment: neither party may assign these terms without the other's written consent, except to a successor in a merger, acquisition, or sale of substantially all assets.
  • Force majeure: neither party is liable for a delay or failure caused by events beyond its reasonable control.
  • Independent contractors: the parties are independent. Nothing here creates a partnership, agency, or joint venture.
  • Notices: notices to the customer are sent to the email addresses of its workspace administrators. Notices to PraxisIQ are sent to privacy@praxisiq.ai.
